Terms of Service & End User License Agreement

1. Acceptance of Terms

By downloading, installing, or using the Sobrius application (“App” or “Licensed Application”), you (“End-User”) agree to be bound by these Terms of Service and End User License Agreement (collectively, “Agreement”). If you do not agree to this Agreement, do not use the App.

This Agreement is between you and Sobrius LLC (“Sobrius,” “we,” “us,” or “our”), and not with Apple Inc. (“Apple”) or Google LLC (“Google”). Sobrius, not Apple or Google, is solely responsible for the Licensed Application and its content.

We reserve the right to update this Agreement at any time. Continued use of the App after changes constitutes acceptance of the modified Agreement. This Agreement may not provide for usage rules that conflict with the Apple Media Services Terms and Conditions or Google Play Terms of Service as of the date of acceptance.

2. Description of Service

Sobrius is a sobriety tracking application designed to help users track their recovery journey. The App provides features including but not limited to:

• Sobriety time tracking
• Daily check-ins and mood tracking
• Journaling capabilities
• Crisis support tools and emergency resources
• Community features
• Analytics and insights

3. License Scope

Sobrius LLC grants you a limited, non-exclusive, non-transferable, revocable license to use the Licensed Application on any Apple-branded products or Android devices that you own or control, and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions and Google Play Terms of Service. The Licensed Application may be accessed and used by other accounts associated with you via Family Sharing, volume purchasing, or equivalent features on your platform.

You may not distribute, sublicense, lease, rent, or otherwise transfer the Licensed Application or any rights therein to any third party. You may not reverse-engineer, decompile, or disassemble the Licensed Application except to the extent permitted by applicable law.

4. Important Health Disclaimer

Always seek the advice of qualified health providers with any questions regarding addiction, recovery, or mental health. Never disregard professional medical advice or delay in seeking it because of something you have read or tracked in this App.

If you are experiencing a medical emergency, call 911 or your local emergency services immediately.

5. User Accounts

You may use certain features of the App without creating an account. If you create an account, you are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Providing accurate and current information

6. Acceptable Use

You agree NOT to:

• Use the App for any unlawful purpose
• Harass, bully, or harm other users in the community features
• Post content that is offensive, threatening, or promotes substance abuse
• Impersonate any person or entity
• Attempt to gain unauthorized access to the App or its systems
• Use the App to distribute malware or other harmful code
• Interfere with or disrupt the App's functionality
• Scrape, copy, or harvest data from the App

7. Community Guidelines

If you participate in community features, you agree to:

• Be respectful and supportive of other users' recovery journeys
• Not share content that glorifies or encourages substance use
• Keep others' information confidential
• Report any content that violates these guidelines
• Understand that community features are peer support, not professional treatment

We reserve the right to remove content and suspend accounts that violate these guidelines.

8. Premium Subscriptions

Sobrius offers optional premium features through subscription plans:

• Subscriptions automatically renew unless canceled before the renewal date
• Prices are subject to change with notice
• Refunds are handled according to App Store/Play Store policies
• You can cancel your subscription at any time through your device settings

9. Maintenance and Support

Sobrius LLC is solely responsible for providing any maintenance and support services with respect to the Licensed Application, as specified in this Agreement or as required under applicable law.

You acknowledge that Apple and Google have no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application. For support inquiries, please contact Sobrius LLC directly using the contact information provided in Section 19 of this Agreement.

10. Warranty

Sobrius LLC is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed.

In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple (for iOS) or Google (for Android), and the applicable platform provider will refund the purchase price for the Licensed Application, if any, to you. To the maximum extent permitted by applicable law, Apple and Google will have no other warranty obligation whatsoever with respect to the Licensed Application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Sobrius LLC's sole responsibility.

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE MAKE NO WARRANTIES ABOUT THE ACCURACY OR RELIABILITY OF ANY INFORMATION PROVIDED THROUGH THE APP.

11. Product Claims

You and Sobrius LLC acknowledge that Sobrius LLC, not Apple or Google, is responsible for addressing any claims you or any third party may have relating to the Licensed Application or your possession and/or use of the Licensed Application, including but not limited to: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation. This Agreement does not limit Sobrius LLC's liability to you beyond what is permitted by applicable law.

12. Intellectual Property

The App and its original content, features, and functionality are owned by Sobrius LLC and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of any content you create within the App (journal entries, posts, etc.). By using community features, you grant us a license to display your shared content to other users.

You and Sobrius LLC acknowledge that, in the event of any third-party claim that the Licensed Application or your possession and use of the Licensed Application infringes that third party's intellectual property rights, Sobrius LLC, not Apple or Google, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOBRIUS LLC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of data, profits, or business opportunities
• Any damages resulting from reliance on the App for medical decisions
• Any outcomes related to your recovery journey
• Any content posted by other users in community features

14. Indemnification

You agree to indemnify and hold harmless Sobrius LLC and its affiliates from any claims, damages, or expenses arising from your use of the App, violation of this Agreement, or infringement of any third-party rights.

15. Legal Compliance

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

16. Third-Party Terms

You agree to comply with all applicable third-party terms of agreement when using the App. This includes, but is not limited to, your wireless data service agreement, your mobile platform's terms of service, and any terms associated with third-party services integrated into the App. Your use of the App must not cause you to violate the terms of any third-party agreement to which you are bound.

17. Third-Party Beneficiaries

You acknowledge and agree that Apple, Inc. and its subsidiaries, and Google LLC and its subsidiaries, are third-party beneficiaries of this Agreement. Upon your acceptance of this Agreement, Apple and Google will each have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.

18. Termination

We may terminate or suspend your access to the App immediately, without prior notice, for any reason including breach of this Agreement. You may delete your account at any time through the App settings.

19. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Sobrius LLC operates, without regard to its conflict of law provisions.

20. Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.
